Proya’s Profit Rose 46%. Flower Knows Changed the Accounts Before Proving the Business.

A crucial contribution from Flower Knows to Proya’s earnings was not more lipstick sold. It was a revaluation of an existing stake. Attributable profit rose 46.26%, while profit excluding non-recurring items fell 13.80%. That is not evidence of accounting fraud. It is a reason to separate obtaining control, recognizing earnings and generating cash.

AI concept: a beauty compact reflects as coins while the real cash tray remains separate

One growth headline, four different signals

Proya’s interim summary, disclosed August 25, showed H1 2026 revenue of RMB5.375B, barely changed. Attributable profit reached RMB1.168B, up 46.26%. Excluding non-recurring items, attributable profit was RMB664M, down 13.80%.

The full report shows operating cash flow of RMB951M, down 26.48%. It remained positive, so this is not evidence of a liquidity crisis. Nor does it establish a comprehensive operating recovery.

Crossing into control creates a gain on an old stake

The May acquisition announcement specified RMB351M for an additional 12.5479% of Flower Knows. Combined with the existing 38.4521%, ownership reached 51%. The interim report confirms control and consolidation in June.

In this step acquisition of a business not under common control, the previously held interest was remeasured at acquisition-date fair value, producing a RMB445M investment gain. The accounting trigger was control, not an overnight jump in consumer demand.

Comparing RMB351M spent with RMB445M earned is misleading. The payment bought new shares; the gain revalued shares already owned. Remeasurement itself brought no matching cash inflow, but that does not make the old investment economically worthless.

What remains is a claim on future performance

The combination note lists RMB351M of current cash consideration plus RMB935M fair value of the earlier stake. Accounting combination cost was RMB1.286B. Subtracting RMB363M of attributable identifiable net assets at fair value produced RMB924M of goodwill.

Goodwill is about 71.8% of combination cost. It is neither another payment nor a loss already incurred. Much of acquisition value cannot be explained by separately identifiable net assets; brand, organization and future performance must support it.

The gain and goodwill cannot be netted against one another and are not two cash flows. One improves current earnings; the other remains on the balance sheet. Future operations determine whether the capital allocation succeeds.

AI concept: a beauty compact crosses a control gate and casts an accounting-paper shadow

LatePost’s interview needs a different scorecard

In LatePost’s interview, republished by Lansha, Hou Yameng discussed entering the global beauty industry’s top ten over a decade and building a brand portfolio. He also described moving from broad Douyin account, content and advertising expansion toward efficiency.

The question is not whether a successor has ambition. Can the group make the acquired brand stronger than it would be independently, through supply, research and international access, while preserving its aesthetic and customers?

An August 29 follow-up cited management’s explanation that recurring profit faced pressure from brand restructuring, multi-brand investment, channel changes and rising online traffic costs. These provide context, not proof of realized synergies.

Do not reward the same future twice

Hold market capitalization constant and switch only the same half-year earnings denominator from RMB1.168B to RMB664M. The market-value-to-earnings ratio rises by about 76%. This is denominator sensitivity, not an actual P/E ratio or a full-year forecast.

Profit excluding non-recurring items is not automatically normalized profit either. New-brand spending can build lasting assets, and acquisition changes the business mix. Model recurring operations, one-off remeasurement and future synergies separately.

A dangerous shortcut puts a growth multiple on earnings that include remeasurement, then adds another standalone value for Flower Knows. Cash flows already embedded in a group forecast cannot be added again. Full revenue consolidation also does not give parent shareholders 100% economic ownership.

Three frameworks demand different evidence

AI concept: beauty products on a transparent bridge supported by cash coins, with future performance still unproven

Framework applications, not these investors’ views on ProyaAccounting can recognize value faster than a business generates cash

  • Buffett-style owner earnings: remove unsustainable non-cash gains while allowing for investment needed to maintain a brand. Neither recurring profit nor operating cash flow automatically equals distributable cash.
  • Munger-style inversion: imagine integration fails. Did the organization suppress creativity, traffic costs rise, or management overpay for scale? Define failure before discussing global rankings.
  • Fisher-style investigation: follow repeat purchase, brand independence, channel sell-through and research commercialization. Ask about improvements on the ground, not just group-level synergy.

Next quarter, ask more than how much revenue was consolidated

Is the flagship returning to organic growth? How much acquired operating profit remains after integration and reinvestment? Which changes reflect a larger consolidation perimeter, and which are comparable improvements? Mark missing disclosures unknown.

The bullish case is testable: the brand retains creative autonomy while benefiting from the group’s research, supply chain and international capabilities, producing durable repeat demand and cash returns. An acquisition must eventually do more than move external growth into the accounts.

Use reverse DCF to test the cash generation required by price, then apply the value-trap checklist to the earnings denominator. The question is not how much income Proya can recognize, but whether the brand will earn back the capital committed for shareholders.

Frequently asked questions

Why did net profit rise while recurring profit fell?

H1 attributable profit was RMB1.168B, versus RMB664M excluding non-recurring items. Obtaining control of Flower Knows generated a RMB445M remeasurement gain on the previous stake. It was important, but not the entirety of non-recurring earnings.

Can the payment and remeasurement gain be used to calculate an investment return?

No. RMB351M purchased a new 12.5479% stake, while RMB445M revalued the previously held interest. They are not cash cost and cash return on the same incremental investment.

Does RMB924M of goodwill mean a loss has occurred?

No. It is combination cost less attributable fair value of identifiable net assets, not an extra payment or realized loss. Future operations and impairment testing determine whether its carrying value is supported.

Was social popularity validated through TikHub?

No. Queries for 珀莱雅 花知晓 and Proya Flower Knows both failed on August 31, 2026. The article relies on filings and reporting, not a verified social ranking. Failure is not zero discussion.
